Michael W. Beardsley, President & CEO

Michael Beardsley has over 18 years of technology experience and over 9 years of investment banking experience. Mr. Beardsley founded Internet Securities in January 1999 and manages all operational and strategic aspects of the Firm. Prior to Internet Securities, Mike worked for Merrill Lynch in New York City for four years as a sell-side equity analyst covering the data networking and telecommunications equipment industries. Prior to Merrill Lynch, Mr. Beardsley was a management consultant at J.P. Morgan in New York City working in the Firm’s telecommunications department. Mike was also a senior telecommunications equity analyst at Pacific Growth Equities in San Francisco. Prior to Mike’s Wall Street career, he worked for Hewlett-Packard in Cupertino and Sunnyvale for seven and one half years in marketing management and telecommunications management roles. Mike’s positions at HP included: Marketing Program Manager, Product Marketing Engineer, Telecom Operations Manager, and Telecom Engineer.

Mr. Beardsley holds an M.B.A. from Columbia University, B.A. in economics from U.C. Berkeley, and A.S. in data communications from Foothill College. Mr. Beardsley possesses NASD Series 7, 24, 63, and 65 licenses.

Berni Ai-Kuo,
Managing Director – Investment Banking

Berni Ai-Kuo is a Managing Director of Investment Banking at Internet Securities and sources, structures, and implements Corporate Finance transactions in water, energy, and technology sectors. Ms. Ai-Kuo has worked in many functions across several industries. She has held positions in R&D, Manufacturing, Sales and Marketing in High-Tech, Consumer Product Goods, Retail, Real Estate, and Investment Banking. As a founder of Capital Sterling Investment Group, she has provided a bridge linking accredited investors with appropriate investments in the United States and Asia. As an executive at HP, Berni Ai-kuo successfully engineered a turnaround of the notebook business in Asia Pacific. Her last position at HP was as Director of Supply Chain Development. Her organization architected the network of factories for the Personal Systems Group.

Ms. Ai-Kuo holds a BS Chemical Engineering from MIT, an MBA and MEM (Masters of Engineering Management) from Northwestern University. Ms. Ai-Kuo possesses NASD Series 7 and Series 66 licenses.

Rajesh Jha,
Managing Director – Investment Banking

Rajesh Jha is a Managing Director of Investment Banking at Internet Securities and sources, structures, and implements Corporate Finance transactions in the healthcare, water, energy, and technology sectors. Mr. Jha has over 10 years of experience with corporate finance, advisory, mergers & acquisitions and financial restructuring. Rajesh Jha has held prior senior investment banking positions with Emerging Growth Equities, The Keystone Equities Group, and Ferris, Baker Watts, Inc. He has also served as the CFO and Business Development Officer of an early stage software company. Rajesh Jha has closed over 40 middle market investment banking transactions in the information technology and healthcare sectors and has been involved in over $1 billion in public and private financings.

Mr. Jha holds an MBA degree with Finance concentration and an MS degree in Organic Chemistry, both from the University of Maryland at College Park. Mr. Jha is a graduate of Indian Institute of Technology, Delhi. Mr. Jha possesses NASD Series 7 and Series 63 licenses.

Motoko Kamiyama,
Director of Non Profit Markets

Motoko Kamiyama oversees the relationship between Internet Securities® and its non- profit organization (NPO) partners to ensure the Firm is providing high quality financial services and consultation. Prior to Internet Securities® Motoko worked for Canvas Capital and Japan External Trade Organization. In addition, Motoko has direct NPO experience at the Local Initiative Support Corporation, Japan – U.S. Community Exchange & Education, and Legal Assistance for Seniors.

Ms. Kamiyama holds a Masters of Non-profit Organizations from Case Western Reserve University and a B.A. in Linguistics and Education from Oberin University in Tokyo, Japan. Motoko Kamiyama possesses an NASD Series 7 and Series 66 licenses and is a registered representative of Internet Securities®.

Bill Carson,
Financial Operations Principal

Bill Carson is Internet Securities’ NASD Series 27 licensed Financial Operations Principal. Mr. Carson is responsible for Internet Securities’ financial reporting and NASD required internal records and FOCUS reports. In addition, Bill Carson advises the CEO on the prevailing NASD rules and regulations. Prior to Internet Securities, Mr. Carson worked as an examiner at the NASD from 1977-1980, and was part owner of a full clearing firm on the Pacific Stock Exchange, Kirchen & Co., from 1980-85. Bill Carson has an additional 14 years experience in Brokerage accounting serving as Financial and Operations Principal to several Bay Area brokerage firms.


Technology Team

Henry K. Wong,
Chief Technology Officer

Henry K. Wong has over 15 years of technology experience and over 10 years of marketing management experience. In his role as Chief Technology Officer of Internet Securities, Mr. Wong oversees the planning, design, and implementation of the Company's Information Technology. Henry Wong has a marketing management and technology background from companies such as Intel Corporation and McDonnell Douglas (now owned by Boeing Corporation). Prior to joining Internet Securities, Mr. Wong worked at Intel Corporation for six years in product marketing and corporate development roles where he was involved with the Pentium processor/platform and launching the first 64-bit Itanium processor and systems. In addition, he recruited key server software developers and operating system vendors. Prior to joining Intel, Henry worked for an interactive television startup company and a server database firm. Mr. Wong also has engineering experience from McDonnell Douglas where he was a lead information technology engineer developing several mission critical applications.

Mr. Wong has an M.B.A. from Columbia University and a B.S. in engineering from the University of California at Berkeley.


Advisors

Joseph J. Bellace provides an important advisory role to Internet Securities’ Equity Research department. Mr Bellace has over 37 years of technology experience and over 33 years of investment management and investment banking experience. Joe worked for Merrill Lynch for 16 years in equity research where he achieved global recognition. Joe was ranked the number one research analyst in the Telecommunications Equipment sector for nine out of ten years in a row (1988-1998) by Institutional Investor (II) magazine. He was also a member of the II Data Networking team (ranked in the top four) from 1994-1998. Mr. Bellace’s investment banking transactions included the lead manager on IPO for Cabletron Systems and the lead manager for secondary offering of Plantronics common stock. Also, senior co-manager on IPO for Lucent Technologies and co-manager for IPO and secondary financings for Advanced Fibre Communications and General Instrument. In terms of mergers and acquisitions, Joe was a key member of the team advising Boston Technology in their merger with Comverse Technology. Prior to Merrill Lynch, Mr. Bellace spent eight years at Bank of New York as a senior equity research analyst responsible for fundamental research on information processing industry (mainframe computers, mini computers, computer services, telecom equipment, etc). Joe also held research analyst positions at CNA Financial and Dupont Glore Forgan. Prior to Mr. Bellace’s investment management and research career, Joe spent four years at AT&T as a sales manager for major accounts purchasing customer premise equipment in New Jersey. Joe was also a data communications specialist for selected major accounts.

Mr. Bellace holds a M.B.A. from University of Pennsylvania, Wharton Graduate School. Joe was a member of Beta Gamma Sigma (Economics Honorary Society). He also attained a B.S. degree in mechanical engineering and a B.A. degree in Economics from Bucknell University where he was a member of Tau Beta Pi (Engineering Honorary Society) and Omicron Delta Kappa (Leadership Honorary Society).

Kevin Breard Certified Public Accountant. Kevin Breard is the Principal of Kevin Breard Accountancy and performs the annual audit of Internet Securities' financial statements and records. In addition, Kevin Breard prepares the Company's annual tax returns and advises the CEO on prevailing accounting regulations.

Steve King is President and CEO of ZANTAZ. Mr. King brings over 20 years of experience in financial services and high tech industries to ZANTAZ Inc. With strong leadership roles in sales, marketing, and executive management, Steve’s cross-functional business approach is key to successfully driving the strategic direction of ZANTAZ and building a customer-driven company. Under Steve’s executive leadership, ZANTAZ has quickly become the industry leader in compliance technology and electronic discovery solutions.

Prior to joining ZANTAZ, Steve held several key management roles at E*TRADE and E*OFFERING. At E*OFFERING, Steve served as President and CEO, orchestrating the company’s overall strategy and leading the sales, operations and marketing divisions. Steve also served as General Manager of E*TRADE’s Business Solutions Group. In this role, Steve built the division through a series of strategic acquisitions and aggressively expanded E*TRADE into a new markets. During his stints at E*TRADE, Steve became a registered securities principal, and thus became intimately familiar with the compliance issues facing broker dealers and other financial services firms.

Previously, Steve held senior management positions at leading online technology companies, including the Thomson Corporation and Ziff-Davis.

Rauer L. Meyer is a Partner at Thelen Reid & Priest LLP law firm - Technology and Intellectual Property Department. Focus areas include: Software & Internet - the protection of rights in ideas, software, content and brands; development and hosting transactions; licensing, co-marketing, and other commercialization deals. Intellectual Property - the protection of rights in technology, trademarks, copyrights, and trade secrets; licensing, distribution, transfers, and other transactions involving intellectual property. Sales and Marketing - distribution systems for goods and services; contracts and enforcement; compliance with antitrust laws; the design, implementation, and enforcement of franchise systems. Ned Strong advises founders and senior executives with all aspects of their companies’ early-stage growth - including business planning, funding, recruiting, overseas market entry, operations and corporate governance. His focus is on new IT&T technology and applying IT&T technology to solve existing market problems. Recent successes include achieving first-round funding of A$6.75M from international and local venture institutions for a developer of broadband network optimisation software that migrated to Silicon Valley to better access major markets and management talent; and seed funding of A$250,000 from local investors for a web portal in a vertical market within the agribusiness industry. From 1997-1999, Mr. Strong was the Co-Founder, and Executive Director responsible for Marketing, Sales and Alliances, of Bluegum Group, Australia’s largest electronic manufacturing services company (750 staff and A$500M in sales). During his tenure, Mr. Strong led significant change to create a market focus amongst employees used to multinational manufacturing environments, resulting in new business generation from HP, Lucent and Varian. In mid-2000, Bluegum was acquired by Solectron (NYSE:SLR), the world leader in electronic manufacturing services, returning investors in excess of 100% IRR. In Mr. Strong’s previous role as Partner and Co-Founder of Seventh Wave Ventures, his Sydney-based company led the local and international investor group that raised in excess of A$55M in equity and debt to form Bluegum from the buyout of the IBM and Alcatel production facilities in Australia. During that time, Mr. Strong also advised several Australian clients seeking private equity funding. Prior to re-locating to Australia, Mr. Strong worked for Gemini Consulting, a leading management consulting firm, where he specialised in strategy-related issues in the high-technology industry. Clients included Bell Atlantic, Stentor, Bellcore and AMD. Mr. Strong began his career in 1984 with IBM, in the ROLM telecom subsidiary in Silicon Valley, California. There, he held roles in international product management, sales and international manufacturing over a six-year period.

Mr. Strong holds an MBA (1993) from Columbia University, where he was honoured as an International Fellow; an M.Phil (1983) from Cambridge University; and a B.A (1982), with Honours and Distinction, from Stanford University.
